(Terms of Use)

1) Who we are and how these Terms apply
These Terms govern your access to and use of websites, content, courses, events, newsletters, communities, and related services provided by Andrea Carter Consulting (“we,” “us,” “our”), including www.andreacarterconsulting.com and www.belongingfirst.com (the “Websites”) and any services we link to these Terms (collectively, the “Services”).
By accessing or using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.
2) Eligibility
You must be at least 18 years old or the age of majority in your jurisdiction to use the Services. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
3) Accounts and security
You may need an account to use some features. Provide accurate information and keep your credentials confidential. You are responsible for activity on your account. Notify us immediately of any unauthorized use or security issue.
4) Purchases, subscriptions, renewals, and trials
Pricing and taxes: Prices are shown before applicable taxes and fees unless stated otherwise. You authorize us and our payment processors to charge your payment method for purchases.
Subscriptions: If you buy a subscription, it will auto-renew at the then-current price unless you cancel before the renewal date in your account settings or by contacting us.
Trials and promos: If you start a trial, you will be charged at the end of the trial unless you cancel before it ends.
Refunds: For digital content (downloadables, on-demand courses, templates) all sales are final except where required by law or where we explicitly offer a refund in writing. For live events, workshops, and coaching, the confirmation page or order form sets the specific cancellation and refund terms; if none are shown, cancellations 14 days or more before the event receive a 50% refund, and less than 14 days receive no refund. This section does not limit any non-waivable consumer rights in your jurisdiction.
EU/UK digital content: If you are in the EU or UK and purchase digital content for immediate access, you may be asked to consent to immediate supply and acknowledge that you lose the statutory withdrawal right once delivery begins.
5) Acceptable use
You agree not to:
break the law, violate others’ rights, or infringe intellectual property;
upload, post, or transmit anything unlawful, harmful, misleading, defamatory, harassing, or discriminatory;
attempt to access or scrape the Services in automated ways without our written permission, or circumvent access controls;
introduce malware or interfere with security or operations;
copy, share, resell, or sublicense course materials or downloads beyond the license granted to you;
use our content to build or train AI models or datasets without our prior written consent, except where non-waivable exceptions apply under local law.
6) Intellectual property and your license to use the Services
All content in the Services, including text, graphics, logos, videos, workbooks, templates, and trademarks, is owned by Andrea Carter Consulting or our licensors and is protected by law.
We grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Services for your internal, non-commercial use, subject to these Terms. Unless we give written permission, you may not reproduce, modify, distribute, publicly display, or create derivative works from our content.
7) User content and feedback
If you submit or post content (comments, testimonials, posts, messages, uploads), you grant us a worldwide, royalty-free license to host, store, reproduce, and display that content to operate and improve the Services and, if you expressly consent, for marketing. You are responsible for your content and you promise you have all rights needed to grant this license. We may remove content that violates these Terms or the law.
8) Professional services and education disclaimer
Our content, courses, and coaching are for educational and informational purposes only. They are not medical, legal, accounting, financial, psychological, or therapeutic advice. You are responsible for your decisions and outcomes. Where we provide consulting or coaching under a separate agreement, that agreement will govern those services.
9) Third-party services and links
The Services may include links to or integrations with third-party sites, platforms, payment processors, webinar tools, or social networks. Their terms and privacy policies apply to your use of those services. We are not responsible for third-party content or practices.
10) Privacy, cookies, and regional compliance
Your use of the Services is also governed by our Privacy Policy, which explains what we collect, why, and your choices, including cookie controls, marketing preferences, and regional rights (EU/UK, U.S. state laws, Canada including Québec). Where required by law, we honor opt-out preference signals for targeted advertising and provide regional rights workflows.
11) Changes to the Services
We may change, suspend, or discontinue any feature or component of the Services. Where required by law, we will provide notice for material changes that negatively affect paid features.
12) Warranties and disclaimers
The Services are provided “as is” and “as available.” To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, secure, or error-free.
13) Limitation of liability
To the maximum extent permitted by law, Andrea Carter Consulting and our directors, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenues, data, or goodwill, arising from or related to your use of the Services, even if we have been advised of the possibility of such damages. Our total liability for any claim relating to the Services will not exceed the greater of: (a) the amount you paid to us for the Service giving rise to the claim during the 12 months before the event, or (b) 100 CAD. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
14) Indemnification
You will indemnify and hold harmless Andrea Carter Consulting and our personnel from any claims, losses, and expenses (including legal fees) arising from your breach of these Terms, your misuse of the Services, or your violation of law or third-party rights.
15) Intellectual property complaints
If you believe content infringes your copyright or other rights, contact us with sufficient detail to locate and assess the material and to verify your identity and rights. We may remove or restrict content in our discretion and consistent with applicable law.
16) Export, sanctions, and anti-corruption
You agree to comply with applicable export control and sanctions laws and not to use the Services where prohibited. You agree not to offer or accept bribes or improper payments in connection with the Services.
17) Regional terms
EU/UK consumers
Nothing in these Terms limits your non-waivable consumer rights. If you are a consumer in the EU or UK, you may have statutory rights to withdraw from certain contracts within specific timeframes and to remedies for faulty digital content or services under local law. For non-essential cookies and similar technologies, we seek consent in line with local requirements.
United States
Residents of certain states may have additional consumer rights under state law. We will process opt-out signals for targeted advertising or sales of personal information where required, as described in our Privacy Policy.

We comply with applicable federal and provincial laws for commerce and privacy. For Québec consumers: the parties expressly request that these Terms and all related documents be drawn up in English.
Les parties conviennent que la présente convention et tous les documents qui s’y rattachent soient rédigés en anglais.
18) Governing law and dispute resolution
These Terms and any dispute or claim arising out of or in connection with them are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-laws principles.
Venue (business users and non-consumer disputes): The courts located in Toronto, Ontario have exclusive jurisdiction.
Consumers: If mandatory law in your place of residence requires local courts or gives you additional rights, those rules will apply. Nothing in this section limits any non-waivable consumer protections.
19) Changes to these Terms
We may update these Terms from time to time. The “Last updated” date shows when they took effect. Material changes will be notified where required by law. Continued use of the Services after changes means you accept the updated Terms.
